Welcome to Kerbside Health, Inc. ("Kerbside Health," "we," "our," or "us"). By accessing or using our website, platform, or services, you agree to comply with and be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you may not use our services.

1. Nature of Services

1.1 Kerbside Health provides access to independent medical specialists for virtual second opinions for informational and educational purposes only.

1.2 Our services do not include medical diagnosis, treatment, prescription, or the establishment of a physician-patient relationship between you and Kerbside Health, its affiliates, or the consulting providers.

1.3 The consulting providers are independent contractors and not employees or agents of Kerbside Health. Kerbside Health does not practice medicine or offer medical advice.

1.4 Scope and Licensure. Consulting providers who contribute educational second opinions through the Services are licensed physicians. These Services are limited to non-clinical, educational consultations based on information you provide and are not a substitute for in-person care. Kerbside Health does not direct or control providers’ clinical practice. If any clinical services are offered, they will be provided in accordance with applicable law, including any licensure or telehealth requirements.

2. No Physician-Patient Relationship

2.1 You acknowledge and agree that the second opinions provided are advisory in nature and are not a substitute for diagnosis or treatment by your own healthcare providers.

2.2 You agree to consult your personal physician before making any medical decisions based on the information provided through our services.

2.3 Informational Content: Kerbside Health may provide educational articles, blog posts, or condition-specific content (e.g., information about glaucoma, cataracts, or diabetic retinopathy) for general informational purposes only. This content is not intended to constitute medical advice or be used for the diagnosis or treatment of any medical condition. You should consult your personal healthcare provider for guidance tailored to your specific health needs.

3. Use of Services

3.1 You must be at least 18 years old to use our services.

3.2 You agree to use our services for lawful purposes only and in accordance with these Terms.

3.3 You agree not to use our services for emergencies. If you have an emergency, call 911 or seek immediate in-person care.

Directory & Provider Profiles

D1. Sources & Accuracy. Our directory compiles publicly available information from sources such as the NPPES NPI Registry and provider or institutional websites. Directory content may be incomplete or outdated. We do not endorse any provider, and inclusion does not imply affiliation with Kerbside Health.

D2. Images & Likeness. Headshots and other images may appear on profiles. If you own or appear in content displayed on a profile and believe it is used without authorization, contact hello@kerbsidehealth.com and we will promptly review. Claiming a profile or submitting content grants Kerbside Health a non-exclusive, royalty-free license to display, reproduce, and distribute that content in connection with the Services. You represent that you have all rights necessary to grant this license.

D3. Claiming & Verification. Unclaimed profiles may be claimed by the provider or an authorized representative. We may require identity and credential verification and may reject or revoke claims or edits that are inaccurate, misleading, or unlawful.

D4. Rankings & Ordering. Where profiles are ranked or ordered, the ordering may be influenced by factors such as relevance to search filters (e.g., specialty, subspecialty, location), completeness of profile information, recency of updates, and user engagement. Paid placement does not affect clinical claims or medical quality and, if used, will be clearly labeled as “Sponsored.”

D5. Prohibited Use. You may not use the directory to spam, harass, scrape at scale, or misrepresent affiliation. Automated scraping or bulk extraction is prohibited without our prior written permission.

4. Payments and Refund Policy

4.1 Fees for services are disclosed in advance. Payment is due at the time of booking.

4.2 Payments are processed securely via third-party processors. We do not store payment information.

4.3 All sales are final. No refunds will be issued unless required by law.

5. Limitation of Liability

5.1 Kerbside Health, its affiliates, and its consulting providers shall not be liable for any direct, indirect, incidental, consequential, special, or exemplary damages arising from or relating to your use of our services.

5.2 To the fullest extent permitted by law, our total liability to you for any claim shall not exceed the amount paid by you for the applicable service.

6. Disclaimers

6.1 Our services are provided "as is" and "as available" without warranties of any kind, either express or implied.

6.2 Kerbside Health disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability and fitness for a particular purpose.

6.3 Second opinions are based solely on the information you provide. We do not verify the accuracy or completeness of such information.

7. Indemnification

You agree to indemnify, defend, and hold harmless Kerbside Health, its affiliates, officers, directors, employees, contractors, and consulting providers from any claims, losses, liabilities, damages, costs, or expenses (including attorneys’ fees) arising out of or relating to your use of the services, your violation of these Terms, or your misuse of the second opinion information.

8. No Use in Litigation or Insurance Claims

You agree not to use the second opinion for purposes of litigation, arbitration, insurance claims, disability determinations, workers’ compensation matters, or other legal proceedings.

9. Intellectual Property

All content on our website and platform, including text, graphics, logos, images, and software, is the property of Kerbside Health and is protected by intellectual property laws.

You may not reproduce, modify, distribute, or create derivative works without our prior written consent.

10. Third-Party Services

Our services may contain links to third-party websites or services. We are not responsible for the content or privacy practices of those third parties.

11. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws principles.

12. Changes to These Terms

We may update these Terms from time to time. Any changes will be effective upon posting on our website. Continued use of the services after such changes constitutes acceptance of the new Terms.
